Swarojgar Laghubitta Bittiya Sanstha Limited has called a Special General Meeting (SGM) scheduled for Jestha 1, following a board decision made on Baisakh 14.

The meeting will be held at Panchakanya Banquet in Banepa starting from 11:30 AM.

The primary agenda of the meeting is the proposed acquisition of Vin Nepal Laghubitta Bittiya Sanstha Limited. Key proposals include the appointment of a due diligence auditor (DDA), approval of acquisition-related costs and remuneration, determination of share swap ratio, and endorsement of both the Memorandum of Understanding (MoU) and final agreement.

Additionally, the meeting will discuss post-acquisition structural changes, adjustments in promoter and public shareholding, and relocation of the central office, with authority to be granted to the board for implementation.

Proposals to amend the Memorandum and Articles of Association in line with increased paid-up capital post-acquisition will also be presented. The board or designated officials will be authorized to make necessary changes as per regulatory requirements.
