Upper Hewakhola Hydropower Promoter Shareholder Plans to Sell 452,533 Shares

Upper Hewakhola Hydropower Company Limited (UHEWA) has informed the Nepal Stock Exchange (NEPSE) that its major promoter shareholder Sudip Ghimire intends to sell 452,533 shares of the company within the next three months.

The company submitted the disclosure to NEPSE on Bhadra 15, 2083 (August 31, 2026) after receiving a written application from Ghimire.

Ghimire, identified as a major promoter shareholder, has notified the company of his intention to sell the shares currently held by him during the coming three-month period.

The disclosure has been made in accordance with regulatory requirements governing the sale of substantial shareholdings by promoter shareholders of listed companies.

According to Upper Hewakhola Hydropower, the information was submitted to NEPSE following a directive from the Securities Board of Nepal (SEBON).

Under the relevant provisions of the Securities Act, 2063 and SEBON's directive, promoter shareholders intending to sell 5% or more of their shareholding must notify the concerned listed company at least 15 days before the proposed sale.

The company said the disclosure was made to comply with the regulatory requirement and ensure that investors are informed about the proposed transaction.

The planned sale is relevant to UHEWA investors as the release of a substantial promoter holding could increase the potential supply of shares available for trading, depending on the eventual transaction.
