Kalinchowk Darshan Calls AGM to Approve Bonus Shares and Announce Rights Issue

Kalinchowk Darshan Limited (KDL) has convened its 11th Annual General Meeting (AGM) to approve the dividend proposal declared for the previous fiscal year. The meeting is scheduled for Tuesday, Poush 15, at Badrinath Hotel, Gaushala, Kathmandu, beginning at 11:30 AM.

The AGM will vote on the company’s plan to distribute a 5% bonus share and an additional 0.263% cash dividend for tax obligations. Following the bonus issuance, the company also intends to issue 100% rights shares based on the adjusted paid-up capital. The proposal reflects the company’s strategy to strengthen capital structure and support future expansion.

Other agenda items include amending the company’s Memorandum and Articles of Association, ratifying decisions made by the board, approving director appointments, and selecting the statutory auditor for the upcoming fiscal year.

For the purpose of dividend distribution and AGM participation, KDL has announced a book closure on Poush 1. Shareholders holding shares by the end of trading on Mangsir 29 will be eligible to attend the AGM and receive the declared dividends.
