Prabhu Insurance to Hold 30th AGM on Baisakh 9, Announces Dividend Proposal

Prabhu Insurance Limited has decided to convene its 30th Annual General Meeting (AGM) on Baisakh 9, 2083, at its central office located at Prabhu Complex in Tinkune, Kathmandu. The meeting will begin at 11:00 AM, as approved by the company’s Board of Directors.

The AGM is set to endorse a dividend proposal from the company’s profits of the previous fiscal year, which includes an 8.7% bonus share and a 0.4579% cash dividend allocated for tax purposes.

Following the distribution of dividends, the company’s issued and paid-up capital is expected to increase, requiring amendments to its Memorandum and Articles of Association. These special proposals will be presented for shareholder approval during the meeting.

The AGM will also review and approve institutional governance-related expenditures and authorize the Board of Directors to incorporate necessary regulatory feedback into the company’s governing documents.

Additionally, the meeting will approve the annual financial statements and auditor’s report of the previous fiscal year. It will also appoint auditors for the current fiscal year and determine their remuneration.

For dividend eligibility and AGM participation, the company has set Chaitra 26 as the book closure date. Shareholders registered until Chaitra 25 will be eligible to receive dividends and attend the meeting.

The AGM is expected to be significant for shareholders as it outlines both financial performance and future capital restructuring plans of the insurance company.
